These Terms of Use (“Terms”) govern your access to and use of Kodus’ products and services, including the Kody AI code review platform, websites, and related tools (together, the “Services”). Please read them carefully.
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

Kody is an AI powered code review platform that integrates with tools such as GitHub, GitLab, Bitbucket, Azure DevOps, Jira and other developer tools. The Services help development teams review code, detect potential bugs, security risks and performance issues, and improve overall code quality.
Unless stated otherwise in a separate written agreement, the Services are intended for business and professional use only.
By creating an account, installing an integration, or using the Services in any way, you confirm that:
You have read, understood and agree to these Terms and to our Privacy Policy.
If you are using the Services on behalf of a company or organization, you have authority to bind that entity, and “you” will refer to that entity.
If you do not agree to these Terms, you must not use the Services.
To use certain features of the Services you must create an account and provide accurate and up to date information.
You are responsible for:
Maintaining the confidentiality of your login credentials.
All activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account.
The Services are not intended for children and must not be used by anyone under the age of 16.
Subject to these Terms and any applicable order form, we grant you a limited, non exclusive, non transferable, revocable license to access and use the Services for your internal business purposes.

We reserve the right to suspend or terminate your access if you violate these Terms or if your use creates a security or legal risk.
“Customer Data” means any data, content or materials that you or your users submit to the Services, including source code, repository metadata, pull requests, comments, configuration, and account information.
You retain ownership of Customer Data. You grant Kodus a worldwide, non exclusive license to host, process and use Customer Data as reasonably necessary to:
Provide, operate and support the Services.
Perform automated and assisted code review.
Maintain security, logging, auditing, monitoring and fraud prevention.
Improve the Services, in aggregated or anonymized form that does not identify you or your users.
We process personal data in accordance with applicable data protection laws including the EU General Data Protection Regulation (GDPR) and the Brazilian LGPD, as applicable.
Our Privacy Policy describes in more detail what personal data we collect, how we use it and your rights.
To the extent we process personal data on your behalf as a processor, the Kodus Data Processing Agreement (“DPA”) available on our website is incorporated into and forms part of these Terms. In case of conflict between these Terms and the DPA regarding the processing of personal data, the DPA will prevail to the extent of that conflict.
We use third party subprocessors such as cloud infrastructure providers, analytics tools and AI model providers to deliver the Services. A current list of these subprocessors is available on our website.
Customer Data and personal data may be transferred to and processed in the United States, where we and many of our subprocessors are located. We implement appropriate safeguards for international transfers, such as Standard Contractual Clauses where required by law.
We do not sell your personal data.
We do not use your customer code or personal data to train or fine tune foundation models (such as models provided by Anthropic, OpenAI, Novita or others), except where you have expressly enabled such a feature in writing or via the Services.
If you subscribe to a paid plan, the fees, billing period and payment terms are described in the applicable order form, plan description or invoice.
You authorize us and our payment processor (Stripe) to charge you for all fees due under your account. All fees are non refundable unless explicitly stated otherwise.
We may change prices and plan features from time to time. Changes will not apply retroactively to already billed periods and, where required by law, we will provide prior notice of changes.
The Services, including all software, user interfaces, designs, logos, documentation and underlying technology, are owned by Kodus or its licensors and are protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms, no license or other rights are granted to you and all such rights are reserved by Kodus and its licensors.
You are solely responsible for ensuring that you have the rights necessary to submit Customer Data and to use the Services with your repositories and tools.
The Services may allow you to connect or integrate with third party services such as GitHub, GitLab, Bitbucket, Azure DevOps, Jira, Slack or others. Your use of any third party service is governed by that third party’s terms and privacy policy, not by these Terms.
We are not responsible for the behavior, content or security of third party services and integrations.
Each party may receive or have access to non public information of the other party that is marked or reasonably understood to be confidential (“Confidential Information”).

Use the other party’s Confidential Information only as necessary to perform its obligations under these Terms.
Not disclose Confidential Information to any third party, except to employees, contractors or advisors who need to know it and are bound by confidentiality obligations.
Customer Data is considered your Confidential Information. Kodus may disclose Confidential Information where required by law or court order, provided we give notice where legally permitted.
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we do not make any warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non infringement or that the Services will be error free, secure, or uninterrupted.
AI generated suggestions, comments and summaries are probabilistic and may be incomplete or incorrect. You are responsible for reviewing and validating any suggestions before applying them to your code or relying on them in production.
To the maximum extent permitted by law:
Kodus will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business interruption, arising out of or in connection with the use of or inability to use the Services.
Kodus’ total aggregate liability arising out of or relating to the Services or these Terms will be limited to the greater of (a) the amounts you paid to Kodus for the Services during the twelve (12) months before the event giving rise to the claim, or (b) 100 USD.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
If you are using the Services under a separate written agreement signed with Kodus that contains a different liability clause, that clause will prevail over this Section.
You agree to indemnify and hold harmless Kodus and its affiliates, officers, employees and agents from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services in violation of these Terms.
Your violation of any applicable law or third party rights.
Customer Data, including any claim that Customer Data infringes or misappropriates a third party’s rights.
We may update and improve the Services over time, including adding or removing features.
We may also update these Terms from time to time. When we make material changes, we will provide notice by updating the “Last updated” date and, where appropriate, by sending you an email or showing a notice in the Services.
If you continue to use the Services after the changes become effective, you agree to the updated Terms. If you do not agree, you must stop using the Services.
These Terms remain in effect while you use the Services.
We may suspend or terminate your access to the Services if:
You materially breach these Terms and do not remedy the breach within a reasonable period after notice.
Your use of the Services creates a security risk, legal risk or could adversely impact other users or the infrastructure.
You may stop using the Services at any time. If you are on a paid plan, termination does not relieve you of the obligation to pay any fees already due.
Upon termination, your access to the Services will be disabled. Handling of Customer Data and personal data after termination is governed by our DPA and Privacy Policy.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.
Any disputes arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and the parties consent to the personal jurisdiction of those courts.
If you are using the Services under a separate written agreement with its own governing law and jurisdiction clause, that clause will prevail over this Section.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of assets.
